Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, websites, applications, and platforms (collectively, the “Services”) provided by Parcelsight LLC (“Company,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

THE INDIVIDUAL ACCEPTING THIS AGREEMENT DOES SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY (“Customer”); SUCH INDIVIDUAL REPRESENTS AND WARRANTS THAT THEY HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THIS AGREEMENT. IF THE INDIVIDUAL ACCEPTING THIS AGREEMENT DOES NOT HAVE SUCH AUTHORITY, OR THE APPLICABLE ENTITY DOES NOT AGREE WITH THESE TERMS AND CONDITIONS, SUCH INDIVIDUAL MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE OR RECEIVE THE SERVICE. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. THE PARTIES AGREE AS FOLLOWS:

1. Eligibility

Customer must be at least 18 years old and capable of entering into a binding agreement to use our Services. By using our Services, Customer represents and warrants that it meets these requirements.

2. Accounts

Customer may be required to create an account to access certain features. Customer is responsible for maintaining the confidentiality of Customer's login credentials and for all activities under Customer's account. Customer agrees to provide accurate and complete information when creating Customer's account.

3. Acceptable Use

Use of and access to the Service is permitted only by individuals authorized by Customer and for Customer’s own internal business purposes and not for the benefit of any third party.

Customer agrees not to:

• Use the Services for any unlawful, fraudulent, or unauthorized purpose.
• Attempt to gain unauthorized access to our systems or networks.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or disassemble any portion of the Services.

4. Ownership & Intellectual Property

Parcelsight LLC owns the Service, Software, Content, Documentation, and anything else provided by Parcelsight LLC to Customer (collectively the “Parcelsight Materials”). Parcelsight LLC retains all right, title and interest (including, without limitation, all patent, copyright, trademarks, trade secret and other intellectual property rights) in and to the Parcelsight Materials, all related and underlying technology and any updates, enhancements, upgrades, modifications, patches, workarounds, and fixes thereto and all derivative works of or modifications to any of the foregoing. There are no implied licenses under this Agreement and any rights not expressly granted to Customer in this Agreement are expressly reserved by Parcelsight LLC.

5. User Submissions

Customer is solely responsible for all User Submissions it contributes to the Service. Customer represents and warrants that all User Submissions submitted by Users follow all applicable laws, rules and regulations. Customer represents and warrants that it has all rights necessary to submit the User Submissions. Customer retains ownership of any data, files, or content submitted through the Services. Customer grants Parcelsight LLC and its subcontractors a non-exclusive, worldwide, royalty-free, paid-up, transferable right and license to use, store, process, and display (to Users) User Submissions as necessary to provide the Services.

6. Payment and Subscriptions

Fees are billed in accordance with the plan Customer selects. One time payments, fees, or charges may be required for some features or services. All payments are non-refundable unless otherwise required by law. We may suspend or terminate Customer's access for failure to pay.

7. Consumer Rights

If Customer is a resident of a jurisdiction with consumer protection laws (such as the European Union or California), Customer may have specific rights regarding data and purchases. To exercise these rights, please contact us at the address in Section 15. We will comply with applicable consumer protection and privacy laws.

8. Termination

We may suspend or terminate Customer's account or access to the Services at any time, with or without cause, notice, or liability. Customer may stop using the Services at any time.

9. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding the reliability, availability, or suitability of the Services. We do not guarantee that the Services will be error-free or uninterrupted.

10. Limitation of Liability

To the maximum extent permitted by law, Parcelsight LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to Customer's use of the Services. Our total liability for any claims shall not exceed the amount paid by Customer, if any, for the Services in the 12 months prior to the claim.

11. Indemnification

Customer agrees to indemnify, defend, and hold harmless Parcelsight LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from Customer's use of the Services or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

13. Arbitration & Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its rules. The arbitration shall take place in Florida, in English, and the arbitrator’s decision shall be final and binding.

Customer and Parcelsight LLC waive the right to a jury trial or to participate in a class action. However, either party may bring an individual claim in small claims court if eligible.

This section does not limit any consumer rights available to Customer under applicable law.

14. Changes to These Terms

We may modify this Terms of Service at any time. Any changes will be effective when posted on this page with an updated effective date. Customer's continued use of the Services after changes indicates acceptance.
